Terms of Service

Last Updated: 28/07/26

1. Who we are

These Terms and Conditions set out the basis on which SW Designs provides web design and related services.

“SW Designs”, “we”, “us” or “our” refers to SW Designs, a freelance web design business based in the United Kingdom.
“You” or “Client” refers to the person, company or organisation purchasing services from us.

By approving a proposal, signing an agreement or paying an invoice, you agree to these Terms.

2. Services we provide

We offer web design and related digital services, including but not limited to:

Sprint projects – one off web design and development projects, usually for a fixed fee starting from £695.

Momentum Studio – ongoing subscription design support priced at £1,695 per month, which includes web and development, unlimited requests, 1 active task, and support for multiple brands.

Members Hub – a branded membership portal for businesses in any industry, designed to manage clients, deliver content, and build engaged online communities. This service includes a setup fee of £1,195 and a monthly management fee of £199.

The exact scope, deliverables, timelines and pricing for each project or subscription will be set out in a proposal, statement of work, email confirmation or order form. If there is any conflict, that specific document takes priority over these general Terms.

We reserve the right to update or change our services at any time. Changes will not affect projects already agreed unless both parties agree in writing.

3. Proposals, quotes and scope

Any proposal, quote or estimate is based on the information you provide at the time. If the scope changes, or new requirements appear after work starts, we may need to revise the price and/or timeline.

A “revision” is a reasonable change to existing layouts, content or design within the agreed scope. Requests that significantly change the brief, add major new features or pages, or require extra third party tools will be treated as additional work and may be billed separately.

We will always flag scope changes and extra costs in advance where possible.

4. Your responsibilities

To help us deliver on time, you agree to:

Provide all necessary content, images, brand assets, logins and information we reasonably need.

Review and approve work in a timely manner.

Make sure any content, images or assets you provide do not infringe any third party rights and comply with applicable laws.

Nominate a single main point of contact for feedback and approvals where possible.

If you delay in providing content, feedback or approvals, project timelines will shift. If a project is paused for a long period because we are waiting on you, we may invoice for work completed up to that point and/or charge a restart fee before resuming.

5. Payment terms

Unless agreed otherwise in writing:

For Sprint projects

  • A deposit of 50% is due before work starts.
  • The remaining balance is due on completion of the agreed scope or on launch, whichever is earlier.

For Momentum subscriptions

  • Fees are billed in advance on a monthly basis.
  • Your subscription renews automatically each month until cancelled in line with these Terms.

For Members Hub

  • A one off setup fee is payable upfront before work begins.
  • The monthly fee of £199 starts one month after the project has launched and gone live.

All invoices are due within 7 days of the invoice date.

Rush or time sensitive work
Where a project or task requires a tight or accelerated deadline, SW Designs may require payment upfront or before delivery of the work. Rush timelines will only be confirmed once payment has been received, unless otherwise agreed in writing.

We reserve the right to:

  • Pause work, withhold delivery or delay launch if invoices are overdue.
  • Not start new work or accept new tasks while any invoices remain unpaid.
  • Charge interest and late payment fees in line with applicable UK law for overdue business invoices.

You are responsible for any bank charges, transfer fees or currency conversion costs so that we receive the full invoiced amount.

6. Pricing, changes and expenses

All prices are quoted in GBP unless otherwise stated, and exclude VAT unless stated otherwise.

If a project requires additional expenses, such as:

premium plugins or third party tools

stock photos, fonts or other licensed assets

external services such as copywriting, SEO, photography or video

we will usually pass these on at cost, with your prior approval.

Where subscription plans include “unlimited requests” this is subject to fair use. We may ask to adjust priorities or workload if request volume becomes unreasonable or affects our ability to deliver quality work.

7. Timelines, delivery and revisions

We will always make a reasonable effort to meet agreed deadlines, especially where you have strict launch dates or marketing campaigns.

Timelines depend on:

how quickly you provide content, assets and feedback

the complexity of the project

any unexpected issues that arise

We will keep you updated if timelines need to change.

Unless otherwise agreed in writing, Sprint projects include a reasonable number of revisions per key deliverable. Revisions are intended to refine the agreed design, not to introduce new concepts, directions or substantial changes to the original brief.

Where revision requests become excessive or fall outside the original scope, SW Designs reserves the right to treat them as additional work and charge accordingly. Any additional costs will be discussed and agreed before work continues.

8. Hosting, domains and third party services

Unless explicitly included in your package or agreed in writing, SW Designs does not provide domain registration.

We offer optional website hosting and maintenance services, which are billed monthly and subject to these Terms and any additional agreement in place at the time of signup.

Hosting plans

Basic Hosting – £24.99 per month
This includes:

  • Website hosting on our chosen infrastructure
  • Ongoing monitoring to ensure the website is running correctly
  • Core WordPress, theme and plugin updates
  • Basic performance and stability checks
  • 1 hour content changes (bankable up to 3 hours)

Hosting + Monthly Updates – £49.99 per month
This includes everything in the Basic Hosting plan, plus:

  • Up to 2 hours per month of website changes (bankable up to 4 hours)
  • Minor content updates such as text and image changes
  • Small layout tweaks that do not materially change the structure or functionality of the website

Third party services

In many cases, we will:

Work on hosting provided by you or a third party

Install, configure and integrate third party plugins and services such as page builders, forms, analytics, email marketing tools or membership platforms

We are not responsible for:

Uptime, performance or security of hosting providers we do not control

Issues caused by third party software, themes or plugin updates

Loss or damage resulting from downtime, hacks, data loss or service interruptions on hosting we do not manage

Where we do provide hosting or maintenance, we will take reasonable steps to keep your website secure, updated and functioning correctly. However, no hosting or website can be guaranteed to be completely free from downtime, bugs or security incidents.

If we manage hosting or technical services for you under a separate agreement, those specific terms will apply in addition to these Terms.

9. Intellectual property and ownership

Once you have paid all fees in full:

You receive the rights to use the final website design, page layouts and content we have created for you for your own business purposes.

You do not own third party tools, themes, plugins or stock assets. These remain subject to their own licences and terms.

Until full payment is received:

We retain full ownership of all work and you do not have the right to use, reproduce or modify it beyond internal review and feedback.

We reserve the right to:

Display the project in our portfolio, on swdesigns.co and related sites

Use screenshots, logos and outcomes in case studies, social media posts and marketing materials

List your company name and/or logo as a client, unless you explicitly ask us not to in writing

You are responsible for ensuring you have the right to use any content, trademarks and assets you provide to us.

10. Changes after handover and ongoing support

Once a project has been launched or formally handed over, the project is considered complete.

Any further changes, updates or support are not included unless:

you are on a Momentum subscription, or

you are subscribed to one of our hosting or maintenance plans, or

the work is otherwise agreed and billed separately in writing.

Where a client is subscribed to Hosting + Monthly Updates, changes are limited to up to 1 hour per month and cover minor content updates such as text and image changes or small layout tweaks. Larger changes, new pages, functionality changes or design revisions are not included and will be quoted separately.

If you, or any third party, edit the website and this results in errors, performance issues or design problems, any investigation or fixes required may be chargeable.

While we take reasonable steps to maintain websites hosted with us, clients are ultimately responsible for their website content and data. We recommend regular backups, either through our hosting setup or via a suitable plugin or third party service.

11. Cancellations and refunds

Sprint projects

If you cancel before work has started, we may refund part of any deposit at our discretion.

If you cancel after work has started, the deposit is normally non refundable and we may invoice for work completed up to the date of cancellation.

If we cancel a project without cause, we will refund any fees you have paid for work not yet delivered.

Momentum subscriptions

You can cancel your subscription by giving at least 30 days notice before your next billing date.

Fees already paid are non refundable, including if you do not submit any requests during a billing period.

We may cancel your subscription with reasonable notice if the working relationship breaks down, if you repeatedly breach these Terms or if you misuse the service.

Any specific cancellation or refund terms in your proposal or order will take priority over this section.

12. Suspension and termination

We may suspend or terminate your access to our services if:

  • invoices remain unpaid after reasonable reminders
  • you commit a serious or repeated breach of these Terms
  • you use our work for unlawful or harmful purposes
  • professional trust breaks down to a point where we cannot reasonably continue working together

Where possible, we will give you reasonable notice before suspension or termination and explain why.

Upon termination:

All rights and obligations of both parties will cease, except for those that are stated to continue, such as payment for work already delivered, confidentiality obligations and intellectual property clauses.

We will take reasonable steps to ensure a smooth transition and minimise disruption to your live website or ongoing projects, as far as is practical in the circumstances.

We are not obliged to provide access to working files, internal documents, raw design files or other materials not explicitly included in your deliverables.

13. Confidentiality

Both parties agree to keep confidential any non public information received from the other that is marked as confidential or would reasonably be considered confidential.

Confidentiality obligations do not apply to information that is:

  • already publicly available
  • independently developed without using the other party’s confidential information
  • required to be disclosed by law or regulatory authority

14. Limitation of liability

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, such as liability for death or personal injury caused by negligence or for fraud.

Subject to that:

  • We are not liable for any loss of profits, revenue, business, data or any indirect or consequential loss.
  • Our total liability arising out of or in connection with any project or subscription will not exceed the total fees you have paid to us for that specific project or for the previous three months of subscription fees, whichever is applicable.

You agree that this limitation reflects a fair allocation of risk given the nature of the services and the fees charged.

15. Data protection and privacy

We will handle any personal data in line with applicable data protection law.

Where we have access to personal data on your systems or websites, we act as a data processor and will only process that data on your instructions and for the purposes of providing our services.

You are responsible for ensuring your own website has appropriate privacy notices, cookie banners and legal documentation for your visitors and customers.

16. Force majeure

We are not liable for any delay or failure to perform our obligations under these Terms where that delay or failure is caused by events outside our reasonable control. For example, natural disasters, major technical outages, strikes, war, pandemics or failures of third party providers.

If such an event continues for an extended period, either party may end the agreement on written notice.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page.

For active projects or subscriptions, we will try to give you reasonable notice of any significant changes. If you continue to use our services after changes take effect, you are deemed to have accepted the updated Terms.

18. Governing law

These Terms and any disputes or claims arising out of or in connection with them will be governed by and interpreted in accordance with the laws of England and Wales.

Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

19. Referral Scheme

We may offer a referral incentive from time to time. If you refer a new client to SW Designs and that referral results in a confirmed project, you may be eligible for a referral reward.

If the referred project has a value of less than £695, the referral reward will be 10% off your next project invoice.

If the referred project has a value of £695 or more, you can choose either:

£100 cash, or

10% off your next project invoice

Referral rewards:

  • Are only confirmed once the referred client has signed off and paid in full for their project
  • The 10% referral reward is applied as a discount to a future invoice and cannot be exchanged for cash
  • The £100 cash reward, where eligible, will be paid via bank transfer or PayPal within 14 days of the referred client’s final payment
  • The 10% referral reward must be used within 12 months of being issued
  • If the referrer does not have an upcoming project, the 10% referral reward will be held as a credit for up to 12 months. Where a £100 cash reward is selected, it will be paid in line with the payment terms above.
  • Cannot be combined with other discounts or promotional offers
  • Only one referral reward can be used per project unless otherwise agreed in writing

SW Designs reserves the right to amend or withdraw the referral scheme at any time without prior notice.
